Terms of Use & User Agreement

About this web site

This web site is operated by iTalent Limited (003800V), Royal Trust House, 60 Athol Street, Douglas, Isle of Man IM1 1JD, trading as WorkLifeGroup under the domain name www.worklifegroup.com and various sub domains and connected domains ("Web Site"). The Web Site is operated on behalf of WorkLifeGroup and its related bodies corporate (together called "WorkLifeGroup").

Your use of the web pages, information, graphics, online tools, features, services, links and materials on the Web Site (collectively "Material") is governed by these Terms of Use. If you do not accept these Terms of Use, do not continue to use the Web Site.

By accessing, viewing, downloading or otherwise using the Web Site or any Material available through the Web Site, or by completing the user registration process, you conclude a legally binding agreement with WorkLifeGroup ("we" or "us") and you agree to become a WorkLifeGroup user ("User") under these Terms of Use & User Agreement ("Terms"). If you are using the Web Site on behalf of a company or other legal entity, such entity may have a separate agreement with us, but you are nevertheless individually bound by this agreement. If you do not want to become a User, do not conclude the Agreement, do not complete the registration process and do not access, view, download or otherwise use any Material on the Web Site.

By becoming a User, you acknowledge that you have read and understood the terms and conditions of this Agreement and that you agree to be bound by all of its provisions.

User Eligibility

You represent and warrant that you:

  • have full power and authority or permissions to enter into this agreement and in doing so will not violate any other agreement to which you are a party;
  • own the email address you are using as the identifier for your account;
  • do not have more than one WorkLifeGroup account at any given time;
  • have not previously been suspended or removed from the Web Site;
  • are not a direct competitor of WorkLifeGroup;
  • have all the equipment and software necessary to connect to the Web Site and use any part of the Material, ensuring it is in working order and suitable for use, including the appropriate version of internet browser to access to the Web Site and Material.

Payment for Administration Services

In the interests of making the software tools available to as many people as possible, the user licence authority is free of charge. The payment made by a User is for the cost of administration services to establish or renew the user licence authority. The full value of payment made by a User is expended immediately on administration services to establish or renew the user licence authority. No refund is available for any reason once payment is made and administration services are fulfilled.

User Licence Authority

On the condition that you pay for the administration services to establish or renew a user licence authority and you comply with all Terms under this Agreement, we grant you a free but limited, revocable, nonexclusive, nonassignable, nonsublicencable authority ("WorkLifeGroup Passport account") to access the Web Site through a widely used and up to date web browser to view information and tools that we provide on the Web Site, subject to and only in accordance at all times with these Terms of agreement. No other rights are granted or implied. WorkLifeGroup reserves all rights of ownership, connection to, and use of Materials on the Web Site.

Trial Period

To ensure you are fully satisfied with the administration services to establish your user license authority for a WorkLifeGroup Passport account, we offer a trial use period of the CV Manager component before you make payment. Generally this period is for 7 days, but we reserve the right to alter this period without notice. Once you are completely satisfied with the administration services provided to establish your user license authority for a WorkLifeGroup Passport account you can choose to make payment and start the term of your user licence authority ("Licence Term"). Your waiver of the trial use period, or commencement / renewal of the Licence Term, will signify your complete satisfaction with fulfilment of administration services and immediate application of payment.

Fulfilment

Administration services are fulfilled at the time a user licence authority is established or renewed for a WorkLifeGroup Passport account. Payment for administration services after the User has made use of a trial period will signify a User's complete satisfaction with fulfilment. Where a User does not make use of the trial period and proceeds directly to payment for administration services to establish or renew a user licence authority for a WorkLifeGroup Passport account, the User's signifies complete satisfaction with fulfilment of administration services by waiver of the trial period and exercising the user licence authority to sign in to the WorkLifeGroup Passport account on the Web Site.

Licence Term

The agreed Licence Term for a user licence authority is limited to a period of one month in any calendar year, followed by up to an eleven month free continued use grace period. The Licence Term will commence upon application of payment for administration services to establish or renew the user licence authority and will continue for one month. It is agreed that during the Licence Term you will exercise the user licence authority free of charge to access your WorkLifeGroup Passport account and use the tools and information on the Web Site to receive their full benefit.

Subsequent to expiry of the Licence Term a grace period of up to eleven months for further free use of your WorkLifeGroup Passport account is provided so you can determine if you wish to use the administration services again in the next calendar year to renew your user licence authority for a further Licence Term. These Terms will still apply in full during the grace period for further free use.

After expiry of the Licence Term if during the free grace period you have elected not to utilise administration services again to renew your user licence authority, the user licence authority for your WorkLifeGroup Passport account is revoked.

At the time of requesting the establishment of your user licence authority if you selected a single Licence Term option you will be advised before the nominated grace period ends of pending licence revocation. If you selected the option for automatic renewal of Licence Term then you will be advised before the grace period ends of pending automatic payment debit for administration services to renew your user licence authority.

Data Protection

iTalent Limited is registered as a data controller under the Data Protection Act 2002. The company is committed to applying the eight data protection principles which underlie the Act. These include the fair and lawful obtaining of personal data, the use of personal data only for specified purposes, and the secure storage of personal data. We will not disclose any information about you to any organisation other than as required under the data protection registration or by law.

In the event you are concerned about any personal data held in your WorkLifeGroup Passport account you are free to sign in and correct or delete any information that is inaccurate or no longer relevant. To request a copy of your personal data, other than through your normal online access to your account, you will need to write to the Privacy Officer at iTalent Limited and pay the applicable service fee.

Any email or data passing over the internet is also processed by other computer servers and terminals across the world wide web (including your own terminal), which are outside of our control. It is the responsibility of the owners of those other servers and terminals to ensure appropriate data protection services are in place and we therefore cannot guarantee the privacy of any email or data passing over the internet.

Denial of Access

It is expressly stated and agreed that no warranty is implied or given by WorkLifeGroup for the operability of the free user licence authority to enable a User to continuously access and use the Materials or the Web Site for the duration of the Licence Term or the grace period. Denial of access may occur for many possible reasons, including but not limited to, malicious software attack, business or systems interruption, network disconnection, temporary power disruption, user suspension for misuse, force majeure, or any number of other reasons.

The User expressly agrees that denial of access is a risk they have considered fully and deemed acceptable before becoming a User. The User warrants this agreement is entered with full knowledge of the potential for denial of access, and indemnifies WorkLifeGroup holding them harmless for any event, claim, damage or misfortune, which may arise for the User resulting from denial of access.

WorkLifeGroup may allow you to access the Web Site as it may exist and be available on any given day, and we may modify, replace, refuse access to, suspend or discontinue the Web Site, partially or entirely, or to charge for or modify prices for access to the Web Site. All such changes shall be effective upon their posting on our site or by email communication to you.

The User expressly agrees that denial of access, if it occurs for any reason, will not invalidate the purchase and payment for administration services to establish or renew the user licence authority, and will not constitute grounds for claim of any kind for refund, compensation, damages direct or indirect, or lost opportunity.

To assist in mitigating the risk of denial of access, a 'download' function is provided for Users to retain outputs and documents to their personal computer. It is expressly agreed the provision or withdrawal of any risk mitigation facility on the Web Site in no way shifts the onus of risk away from the User.

Ownership of content on the Web Site

The Material on the Web Site, including without limitation all information, text, materials, graphics, software, tools, results derived from the use of software and tools, advertisements, names, logos and trade marks are protected by copyright, trade mark and other intellectual property laws unless expressly indicated otherwise.

You must not modify, copy, reproduce, republish, frame, download onto a computer, upload to a third party, post, transmit or distribute the Material in any way except as expressly provided for in this Agreement, or with the express prior written consent of WorkLifeGroup, or by using the tools provided for this specific purpose with your WorkLifeGroup Passport account.

You do not have to submit any information to the Web Site, but if you choose to submit something (including any User generated content, ideas, concepts, techniques and data), you must grant, and you actually grant by concluding this Agreement, a nonexclusive, irrevocable, worldwide, perpetual, unlimited, assignable, sublicenceable, fully paid up and royaltyfree right to us to copy, prepare derivative works of, improve, distribute, publish, remove, retain, add, and use and commercialise, in any way now known or in the future discovered, anything that you submit to us, without any further consent, notice and/or compensation to you or to any third parties.

By submitting any information to us, you represent and warrant that such submission is accurate, is not confidential, and is not in violation of any contractual restrictions or other third party rights. You further agree to be solely responsible for modifications of information or other remedy required to ensure such violations are rectified. Note that we describe our current practices related to personal or private information submitted to WorkLifeGroup in our Privacy Statement.

WorkLifeGroup exercises no control over any content you or others submit while using the Web Site. WorkLifeGroup has no obligation to verify the identity of any Users when they are connected to the Web Site or to supervise the content which has been provided by Users.

Forums & Blogs

WorkLifeGroup may include various forums, blogs and chat rooms where you can post your feedback and comments on designated topics. WorkLifeGroup can't guarantee that other Users will not use the ideas and information that you share. Therefore, if you have an idea or information that you would like to keep confidential and/or don't want others to use, do not post it on the public forum. WorkLifeGroup is not responsible in any way for a User's misuse of any content or information you post in any forums, blogs or chat rooms. You are solely responsible for your interactions with other Users.

Privacy

You should carefully read our full Privacy Statement before deciding to become a User. Please note that certain information, statements, data and content (such as photographs) which you may choose to make public or to send at your discretion might reveal your gender, ethnic origin, nationality, religion and/or sexual orientation, and that you are providing all such information, statements, data and content in full acknowledgment thereof and under your sole responsibility. By providing such information to us, all of which is optional, you are hereby expressly giving your informed consent to the processing by us of such "sensitive" data.

User Submitted Material

WorkLifeGroup reserves the right to withhold, remove and or discard any content available as part of your user license authority or WorkLifeGroup Passport account, with or without notice. For avoidance of doubt, WorkLifeGroup has no obligation to store, maintain or provide you a copy of any content that you or other Users provide when using the Material or Web Site.

User Security

You agree to keep your password secure and confidential; not to use other Users' accounts; not to let others use your account; and to be responsible for anything that happens through your account. Should you believe security has been breached you must notify us using the Contact link provided at the foot of most pages on the web site.

You may at your own decision and risk retain or purge personal information and private documents as part of your WorkLifeGroup Passport account or to download and securely retain copies of these on your personal computer for personal and private use. Should you allow your user license authority to lapse and your WorkLifeGroup Passport account to be closed we are under no obligation to store or keep in tact any of your information or documents for later use should you wish to renew your user license authority and reactivate your WorkLifeGroup Passport account after expiry date.

User Contact Information

You acknowledge and agree that we may send you important information and notices regarding the Material, the Web Site, your user license authority, and your WorkLifeGroup Passport account by email or through other means, including mobile or other hand held devices. You acknowledge and agree that we shall have no liability associated with or arising from your failure to maintain accurate contact or other information. You acknowledge, consent and agree that we may access, preserve, and disclose your registration and any other information you provide if required to do so by law or if in good faith we believe that such access, preservation or disclosure is reasonably necessary to comply with legal process; enforce this agreement; respond to claims of a violation of the rights of a third party; respond to your requests for customer service; protect the rights, property or personal safety of WorkLifeGroup staff, Users, and the public.

Links to other web sites

The Web Site may contain links to other web sites operated by third parties ("Third Party Web Sites"). WorkLifeGroup does not endorse, or approve the operators of Third Party Web Sites, or the information, graphics and material on those Third Party Web Sites ("Third Party Material").

WorkLifeGroup makes no warranty or representation:

  • regarding the quality, accuracy, merchantability or fitness for purpose of Third Party Material or products or services available through Third Party Web Sites; or
  • that Third Party Material does not infringe the intellectual property rights of any person. WorkLifeGroup is not authorising the reproduction of Third Party Material by linking Material on this web site to Third Party Material.

When you follow a link on the Web Site, material at a Third Party Web Site may be displayed in your browser framed by Material on this web site. This material is also Third Party Material for the purpose of these Terms of Use.

In so far as such offers and statements are made on the Web Site, WorkLifeGroup makes such offers and statements on behalf of the operator. WorkLifeGroup expressly disclaims acting in any other respect on behalf of Third Party Web Site operators.

WorkLifeGroup may receive payments from operators of Third Party Web Sites in relation to goods or services supplied by the operator as a result of you linking to the Third Party Web Site from the Web Site.

Third Party Software

Unless otherwise indicated, software downloads available via links from the Web Site are third party products. These products may be subject to a licence agreement between you and the relevant product owner. To the extent permitted by law, WorkLifeGroup accept no liability in respect of such third party products and WorkLifeGroup provide no warranty and give no endorsement in respect of such products or any party connected with them. We do, however, welcome your feedback or suggestions concerning these products.

Liability of any member of WorkLifeGroup for a breach of a condition or warranty implied by law or otherwise, and which cannot be excluded, is limited to the extent possible, at WorkLifeGroup's option, to:

the payment of the cost of having the goods or services supplied again or repaired.

Termination

These Terms (and the agreement constituted by your use of Material on the Web Site) and your access to the Web Site may be terminated at any time by WorkLifeGroup without notice. All restrictions, licences granted by you and all disclaimers and limitations of liability by WorkLifeGroup will survive termination, however, you will no longer be authorised to access the Web Site.

Jurisdiction

Unless expressly agreed otherwise the law applicable to use of the Web Site and to any disputes arising is the law of Isle of Man.

No informal waivers, agreements or representations

Except as expressly and specifically contemplated by this agreement, no representations, statements, consents, waivers or other acts or omissions by WorkLifeGroup shall be deemed legally binding unless documented in a physical piece of writing which is signed in handwriting by an authorised officer of WorkLifeGroup. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to that breach or subsequent similar or other breaches of this agreement.

No injunctive relief

In no event shall you seek or be entitled to rescission, injunctive or other equitable relief, or to enjoin or restrain the operation of the Web Site in any way or any Materials or content used or displayed through the Web Site.

Acceptance and Changes to Terms of Use & User Agreement

You acknowledge and accept that your use of the Web Site indicates your agreement of these Terms and the Privacy Statement.

These are the current Terms of Use and User Agreement. They replace any other Terms for the Web Site published on the Web Site to date. WorkLifeGroup may at any time vary the Terms by publishing the varied Terms on the Web Site. You accept that by WorkLifeGroup doing this, you have received sufficient notice of the variation.

WorkLifeGroup reserves any rights not expressly granted in these Terms of Use & User Agreement.
